Transport Services Agreement
This TRANSPORTATION SERVICES AGREEMENT (this “Agreement”) is entered into as
of this _____ day of ________________, 20___, between 011-services, corp, an
Arizona limited liability company (“011-services ”), and a broker/agent who
is authorized by its customers to negotiate and arrange for transportation
of their shipments in interstate commerce, with offices located at 4115 East
Valley Auto Drive Suite 206, Mesa, AZ 85206 and
_____________________________________ , a ____________________ (“CARRIER”),
with offices located at _______________________

CARRIER OPERATING AUTHORITY AND COMPLIANCE WITH LAW.
CARRIER represents and warrants that is in the business of the
interstate transportation of motor vehicles and that it possesses all
licenses, permits and authority under both federal and state
requirements to legally transport automotive freight by motor vehicle
throughout the lower 48 contiguous states of the United States of
America. CARRIER further represents and warrants that it is, and will
remain in good standing with the Federal Motor Carrier Safety
Administration. Carrier shall maintain satisfactory FMCSA/USDOT safety
ratings and is otherwise unauthorized to provide the proposed services.

SERVICES.
CARRIER agrees to provide transportation services of automotive freight
by motor vehicle as ordered from time to time by 011-services
during the Term of this Agreement. CARRIER agrees to perform such
services in a timely manner and in accordance with all applicable
federal, state and local laws, regulations and ordinances. CARRIER shall
deliver the automotive freight to the destination designated by
011-services in the condition in which it was received by CARRIER
and CARRIER shall be responsible for any damage to freight incurred in
transit. CARRIER shall obtain a printed name and signature on a
completed condition report of vehicle at pick up. CARRIER shall also
obtain a printed name and signature on a completed condition report of
vehicle at delivery. Any and all damage claims resulting from incomplete
condition reports or bill of ladings will be the responsibility of
CARRIER.

FEES.
011-services shall pay to CARRIER such fees for the transportation
services provided under this Agreement as are agreed upon by
011-services and CARRIER and confirmed in a written transport
order sent by 011-services to CARRIER, or any supplement or
revision thereto. CARRIER shall bill 011-services no later than
forty eight (48) hours after delivery of shipment. 011-services
shall employ the method of payment agreed to at dispatch of shipment to
CARRIER. 011-services shall pay CARRIER within a reasonable time
after confirming that delivery of shipment has occurred and that no
damage to the freight has occurred or other claims of loss have occurred
during transport. 011-services reserves the right to withhold
payment when claims arise under Section 7 of this Agreement, until
settlement of such claims. 011-services shall charge CARRIER a fee
of $25 when asked to research unbilled shipments older than ninety (90)
days from the dispatch date.

TERM.
The term of this Agreement shall begin as of the date set forth above
and shall continue for a period of five (5) years. The term shall
automatically extend for additional terms of one (1) year each, unless
terminated by either party by written notice within the ninety (90) day
period prior to the end of the current term. Notwithstanding the
foregoing, either party may terminate this Agreement at any time upon
thirty (30) days written notice to the other party.

RECEIPTS AND BILLS OF LADING.
CARRIER agrees to provide evidence of pickup in the form designated by
011-services , indicating the quantity of vehicles picked up and the
description and condition of each vehicle in the shipment. CARRIER
further agrees to provide evidence of delivery in the form designated by
011-services , indicating the quantity of vehicles delivered and the
description and condition of each vehicle delivered, with such evidence
accepted and acknowledged by the recipient of the shipment in writing.
CARRIER will deliver such evidence to 011-services within forty
eight (48) hours of shipment delivery.

INSURANCE.
CARRIER shall obtain and maintain in full force and effect, at all times
during which it provides transportation services under this Agreement,
all insurance required under any federal, state or local law, including
without limitation, the United States Department of Transportation, in
addition to policies of insurance containing the minimum coverage set
forth on
Exhibit A
attached to this Agreement, as such minimum coverage requirements may be
amended from time to time by 011-services by written notice to
CARRIER.

GENERAL PROCEDURES.
CARRIER shall follow 011-services ’s General Procedures for Carriers, a
copy of which is attached hereto as
Exhibit B,
in performing the services under this Agreement. If CARRIER fails to
comply with such procedures, 011-services shall assess a
non-compliance fee in an amount of up to $100.00, which non-compliance
fee shall be applied against the fees paid to CARRIER by 011-services
for services performed under this Agreement.

INDEMNITY.
CARRIER shall indemnify, defend and hold 011-services and its
customers harmless for, from and against any and all claims, damages,
losses, fines, costs and liabilities of any kind, including, without
limitation, claims arising out of the breach of this Agreement by
CARRIER, injuries or death to persons, damage to or loss of freight or
other property, claims arising from bills of lading or other
documentation and other claims arising out of the transportation of
automotive freight by CARRIER or the performance of its services under
this Agreement. As used in this section, the term CARRIER shall mean
CARRIER, its officers, directors, members, employees, independent
contractors, subcontractors, agents, successors and assigns. As used in
this section, the term 011-services shall mean 011-services , its
customers, officers, directors, members, employees, independent
contractors, subcontractors, agents, successors and assigns.

NON-SOLICITATION OF 011-services CUSTOMERS.
CARRIER shall not, during the term of this Agreement and for a period of
twelve (12) months thereafter, solicit automotive freight transportation
business, directly or indirectly, from any shipper, consignor, consignee
or customer of 011-services for which 011-services orders
transportation services from CARRIER under this Agreement, unless
CARRIER had previously performed automotive freight transportation
services for such party prior to the first order by 011-services
for shipment by CARRIER. In the event of a breach of this section by
CARRIER, 011-services shall be entitled to injunctive relief
prohibiting such breach and, in addition, as liquidated damages and not
as a penalty, a sum equal to twenty percent (20%) of the gross revenue
resulting from transportation services provided to such customer in
violation of this section. CARRIER agrees to provide any and all
documentation requested by 011-services to verify such revenue.

BROKERING PROHIBITION.
CARRIER agrees that the transportation services provided shall be
performed by equipment operated by CARRIER or under CARRIER authority.
CARRIER expressly agrees not to broker or subcontract shipments tendered
by 011-services without prior written consent of 011-services
for each shipment.

SEVERABILITY.
In the event that portion of this Agreement is held to be unenforceable
by a court of competent jurisdiction, the parties agree that such
portion shall be severable and that the remaining provisions of this
Agreement shall continue in force and effect.

ASSIGNMENT/MODIFICATION OF AGREEMENT.
This Agreement may not be assigned or transferred in whole or in part
without the written consent of 011-services . This Agreement may not be
modified except in writing signed by both parties.

GOVERNANCE.
This Agreement shall be governed by the laws of the state of Arizona.
Any action or claims brought under this Agreement shall be brought and
maintained exclusively in the courts of Maricopa County, Arizona.

FINAL AGREEMENT.
This Agreement constitutes the final and complete agreement between the
parties relating to the transportation of automotive freight by CARRIER
for 011-services and this Agreement supersedes all prior
negotiations, discussions and agreements, oral or written, relating
thereto.

ATTORNEY’S FEES.
In the event of a breach of this Agreement by either party, the
breaching party shall pay all attorney’s fees and court costs incurred
by the non-breaching party whether or not suit is instituted.

EXHIBIT A
Insurance Requirements

In order to prevent unnecessary damage claims and payment delays, we
want to clarify the documentation policies and requirements for doing
business with 011 Services.
If any of these procedures are not followed, it will leave you exposed
to damage liabilities and delay your payment.

When
faxing your paperwork, you must send an invoice and a Bill of Lading
with a graphic condition report on it where your driver noted the
condition and all damages of the vehicle.
-
Your Bill of Lading must have a pickup signature and drop-off signature.
-
You must list the VIN on your Bill of Lading to confirm that you moved
the correct vehicle.
If you are picking up from an auction or any pickup location that
refuses to sign your Bill of Lading you
must:
-
Fax us your condition report from the auction or a location in close
proximity to it to prove the condition of the vehicle at origin; without
that you will be held liable for any damages not on the auction’s
post-sale inspection.

If you cannot fax the condition report, call us or leave us a message
noting the damages and we will make notes in our system
Note:
It is not sufficient to only write the damages on the gate pass and leave it
at the guard shack; not all of the auctions save the gate passes and without
that you have no documentation that proves the condition of the vehicle at
origin.

General Procedures for Carriers
If you want to be paid in full you are required
to do the following (Please take note that you have signed the
011-services Carrier Agreement which subjects you to the penalties
and fines outlined for neglecting to do any of the following):
ALL CARS

You must call ahead for both pick-up and delivery. Please make a note of
who you spoke with. See the transport order notes for any load specific
instructions.

You must notify 011-services if your estimated pick-up or drop off
dates change from the dates that you provided to us on the Transport
Order.
-
You must notify 011-services within 2 hours after the load is
picked up by calling 718-819-7398 or emailing a1auto11@gmail.com .
-
You must notify 011-services within 2 hours after the load is
delivered by calling 718-819-7398 or emailing a1auto11@gmail.com .
-
You must provide a Bill of Lading with a signed condition report at both
pick-up and delivery within 48 hours of delivery. If you do not have
printed names and signatures from both locations then you will be
responsible for any damage claims that may arise from such negligence.
If the pick-up location refuses to sign the condition report then you
must contact 011-services and fax a copy of the condition report
to us before loading the vehicle. Note: This also applies to all
physical auction pick-ups.
